Position Summary
Lumentum is seeking an experienced and business-oriented Corporate Legal Counsel to support its operations in Thailand. This role will serve as the primary legal advisor to the Thailand management team and business functions, providing practical, commercially focused legal support across corporate governance, compliance, employment and labor matters, commercial transactions, and general corporate legal issues.
The successful candidate will work closely with local management, Human Resources, Finance, Engineering, Operations, Procurement, Supply Chain, and other functional leaders while partnering with regional and global legal colleagues to ensure legal compliance, manage risk, and support business objectives.
Key Responsibilities
Corporate Governance
Serve as legal advisor for Lumentum's Thailand legal entities and corporate governance matters.
Coordinate and manage board meetings, shareholder meetings, director resolutions, corporate filings, and statutory records.
Ensure compliance with applicable Thai corporate laws and regulatory requirements.
Support corporate restructuring, entity maintenance, capital changes, and other corporate transactions as required.
Liaise with external counsel, regulators, and governmental authorities on corporate governance matters.
Compliance and Ethics
Support implementation and maintenance of Lumentum's global compliance and ethics programs in Thailand.
Advise management on applicable legal and regulatory requirements, including anti-corruption, anti-bribery, competition law, trade compliance, data privacy, and corporate ethics matters.
Conduct legal compliance assessments and assist with internal investigations as needed.
Deliver legal and compliance training to employees and management.
Partner with internal stakeholders to develop and enhance policies, procedures, and internal controls.
Employment and Labor Law
Provide legal advice on employment, labor, and industrial relations matters under Thai law.
Support Human Resources on employee relations issues, disciplinary actions, grievances, performance management, restructurings, workforce reductions, and terminations.
Advise on labor regulations, workplace policies, employee benefits, compensation matters, and workforce compliance obligations.
Support negotiations and interactions with labor authorities, labor unions, employee representatives, and government agencies where applicable.
Manage employment-related disputes, claims, investigations, and litigation with external counsel.
Commercial Agreements
Draft, review, negotiate, and advise on a broad range of commercial agreements, including:
Supply and procurement agreements
Service agreements
Non-disclosure agreements
Distribution and sales agreements
Logistics and warehousing agreements
Technology and licensing agreements
Consulting and professional services agreements
Real estate and facility-related agreements
Provide practical legal advice on contractual risk allocation and commercial negotiations.
Support contract management processes and promote adoption of legal best practices.
General Corporate Legal Support
Serve as a trusted legal advisor to the Thailand leadership team and business functions.
Provide timely, pragmatic, and risk-based legal advice to support business operations and strategic initiatives.
Identify legal risks and develop practical mitigation strategies.
Manage disputes, claims, regulatory inquiries, and litigation matters with support from external counsel where appropriate.
Support mergers, acquisitions, divestitures, strategic projects, and other corporate transactions affecting Thailand operations.
Coordinate with regional and global legal teams to ensure alignment with company policies and legal standards.
Qualifications
Education
Bachelor of Laws (LL.B.) degree required.
Licensed Thai lawyer and member in good standing of the Lawyers Council of Thailand preferred.
Master's degree in law or related discipline is a plus.
Experience
9+ years of relevant legal experience, including experience in-house and/or with a leading law firm.
Experience supporting multinational corporations, manufacturing companies, technology companies, or publicly listed companies is highly preferred.
Strong knowledge of Thai corporate, commercial, employment, and regulatory laws.
Experience managing external counsel and cross-functional stakeholders.
