OpenAI and Microsoft have solidified their long-standing partnership with a new definitive agreement, signaling a significant shift in the AI research lab's structure. This move sees Microsoft supporting the OpenAI board recapitalization, which positions Microsoft's investment in OpenAI Group PBC at approximately $135 billion. This investment represents about 27 percent ownership on a diluted basis.

The updated terms build upon the existing foundation, with OpenAI remaining Microsoft's frontier model partner. Microsoft retains exclusive intellectual property rights and Azure API exclusivity until the declaration of Artificial General Intelligence (AGI).

New Financial and Operational Framework

Following the recapitalization, Microsoft's investment is valued at OpenAI investment $135 billion. This deal also includes a commitment from OpenAI to purchase an additional $250 billion in Azure services from Microsoft.

Crucially, Microsoft will no longer hold a right of first refusal for OpenAI's compute provider needs.

The agreement refines IP rights, extending Microsoft's model and product IP through 2032, now encompassing post-AGI models with safety measures. Research IP rights, covering confidential development methods, are secured until AGI is verified by an independent panel or through 2030, whichever comes first.

OpenAI gains more flexibility, permitted to jointly develop certain products with third parties. While API products developed with partners must remain exclusive to Azure, non-API products can be hosted on any cloud provider.

Microsoft is now empowered to pursue AGI independently or with other partners. If Microsoft utilizes OpenAI's IP for AGI development before its official declaration, specific compute thresholds, significantly larger than current systems, will apply.

AGI Verification and Expanded Access

The declaration of AGI by OpenAI will now be subject to verification by an independent expert panel. This adds a layer of independent scrutiny to a pivotal moment in AI development.

OpenAI can now offer API access to U.S. government national security customers, irrespective of the cloud provider used. The organization is also now able to release open-weight models that meet defined capability criteria.
