Anthropic filed a registration statement on Form S-1 with the SEC for its proposed initial public offering, the company said Oct. 26.

Anthropic, PBC intends to list its Class A common stock on the Nasdaq Global Select Market under the symbol ANT, according to the filing. The number of shares to be offered and the price range have not yet been determined. The offering will be made only by means of a prospectus, with Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC listed as contacts for the preliminary prospectus when available.

That is a lot of blanks for a public debut.

Form S-1 is the standard registration form a private U.S. company files with the Securities and Exchange Commission to register securities before it can sell them to the public. Anthropic says the registration statement has been filed but has not yet become effective, which means the securities may not be sold nor may offers to buy be accepted until the SEC declares it effective. The filing does not constitute an offer to sell, and the company noted no sale would occur in states where it would be unlawful prior to registration or qualification.

What makes the timing notable is how long this has been in motion privately. Anthropic confidentially filed for an IPO, per Forge, so the public S-1 is the moment that process becomes visible, not the start of it. By May 2026 the company carried a reported valuation of 965.00 billion USD, up 154 percent versus its prior round, with about 125.00 billion USD in total funding and a 65.00 billion USD Series H that month, per TradingView.

That scale raises the skeptical question the filing does not answer. With no share count, no price range, and no effective date, investors cannot model dilution, proceeds, or entry price. The two named bookrunners signal a large, institutional offering, but the filing gives no use of proceeds, no lockup terms, and no financials beyond the registration wrapper. Even the competitive backdrop is crowded, as OpenAI was reported Oct. 23 to be targeting a $1.25T valuation ahead of its own 2026 IPO, which frames how Anthropic will be priced against the other frontier lab.

Watch for the preliminary prospectus when Goldman Sachs and Morgan Stanley circulate it. That document should fill the two missing numbers and reveal how much of this highly capitalized AI company Anthropic actually intends to sell.
